Constitution and By-Laws for the Lakes Region Repeater Association

as Approved at the 2004 Annual Meeting

 

 I. Purpose

 

    A. The main purpose of the Association is to provide reliable repeater communications on the amateur bands throughout the Lakes Region of New Hampshire. The repeater is an open repeater in the known definition.

 

    B. Another purpose is to enhance the state of the art of amateur communications by keeping its membership informed through informal technical meetings.

 

II. Membership

 

There will be two (2) types of membership:

 

    A. Full membership with voting privileges.

    B. Honorary membership with voting privileges. Honorary members pay no dues.

 

III. Officers and Committees

 

The Association shall have the following officers and committees:

 

    A. President

    B. Vice-president

    C. Secretary

    D. Treasurer

    E. Financial Committee

    F. Technical Committee

    G. Executive Committee

 

IV. Term of Office and Elections

 

    The president, vice-president, secretary and treasurer shall serve a two-year period and shall be elected at the annual meeting biannually.

 

    The president shall appoint a nominating committee of three members, prior to an election meeting, to place into nomination the four elected officers. He shall also appoint the trustee of the association.

 

V. Meetings

 

The president shall call the annual meeting in late summer or fall of each year. The president may schedule other meetings by prior notice to the membership.

 

VI. Financial Committee

 

The Financial Committee shall consist of five people, ie: the president, treasurer, and three others appointed by the president.

 

The duties of the committee will be:

 

    A. To handle the business affairs of this Association.

    B. Authorize the payment of bills.

    C. Make money available, when needed, for maintenance and improvement to the repeater(s), or for other normal expenses that might occur.

    D. By special meeting of the committee, make assessments on the members if it becomes necessary to keep the Association solvent.

    E. Set annual fees for membership.

    F. Make a full financial report at the annual meetings and announce at that time the membership fee for the following year.

    G. Provide a contingency fund of $50.00 for use by the treasurer for any emergency conditions that might occur.

 

VII. Technical Committee

 

    A. The president shall appoint a technical committee. This committee shall include the president and as many members as he deems necessary to keep the repeater(s) in operation. The committee shall have responsibility and authority for operation, maintenance and improvements to the repeater(s).

 

    B. The members may at any time offer suggestions in writing to the president. The president will consult with the technical committee on the feasibility of the suggestion. He will then inform the suggestor(s) thereto.

 

VIII. Executive Committee

 

    A. The Executive Committee shall consist of all current Officers, all committee chairmen, all active past presidents.

 

    B. The Executive Committee shall meet at the call of the President and shall propose and schedule all future Association activities.

 

IX. Ownership

 

    The repeater, operating under an assigned call, is owned and operated by the Lakes Region Repeater Association, under the supervision of the trustee in accordance with the rules and regulations of the FCC.

 

X. Changes

 

    Amendments can be made to this constitution and by-law[s] by a majority vote of those present at an annual meeting, providing that at least ten members are present.

 

XI. General

 

The Association will conduct it's meetings according to Robert's Rules of Order. Ten members present and voting will constitute a quorum.

 

If, for any reason, it shall become necessary to abandon the activities of the Repeater Association, it shall be the duty of the officers, trustee and Financial committee to call an emergency meeting of all members in good standing, who at such meeting shall determine the most reasonable and expeditious means to bring an end to the club¹s existence. A vote of a simple quorum of the members and officers present is sufficient to so act.

 

If in the event no officers or members of the Financial committee remain actively engaged in the Club, it shall become the duty of the trustee to contact all club members on the last active list of members and to call a meeting of the same with the purpose of such meeting to be to dissolve said Club and to dispose of the assets and equipment in whatever manner those present shall decide. A vote of a simple quorum of those present shall be sufficient to so dissolve said Repeater Association.

 

If moneys remain after the Association is dissolved, said moneys shall be used to clear any debts owed by said organization. Any moneys remaining thereafter may be donated to any fund of (sic) charity the parties present at said last meeting shall desire, but under no circumstances shall any individual affiliated with the Association in any way either as member or past member realize any financial gain from such remaining moneys to his personal advantage.

 

The above was accepted and amended by vote of the 1996 Annual Meeting of the Association.

Change in By laws Voted on October 14, 2010

Under section 4, Term Of Office and Elections, add after the first sentence.)  "The Election may be conducted by email or by a radio net on the Club repeater on 147.030 Mhz with prior email notice to the membership."

(Under section 5, Meetings, change the first sentence to read.)   "The President shall schedule the Annual meeting each year before the end of the year."

(Under section 9, Changes, Add the following.)   "Amendments can also be made by email polling with a quorum responding and the majority in the affirmative or by a radio net on the Club repeater with quorum attending and the majority in the affirmative."  Also  change the wording of the existing second sentence from:  ",providing that at least ten members are present."  to ",providing a quorum is present."

(Under section 10, General, Add the following.)   "A quorum shall also apply to members responding in the email form of meeting and present on the radio net  form of meeting."  Also change the word "ten to "seven".
